Terms of Service

1. Acceptance of Terms

Westlorn is a service operated by Westlorn LLC ("we," "us," "our"). By accessing or using Westlorn, including the Westlorn Companion+ app for Shopify (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to all terms, do not use the Service.

2. Service Description

Westlorn provides AI-powered advertising and e-commerce tools through its web application. Using product information from a connected Shopify store or a public product page you provide, the web application generates advertising plans that suggest how to allocate ad spend across platforms you select, generates ad copy and creative files, deploys campaigns to connected advertising platforms at your direction, and suggests product pricing. The Service also produces documents ("Westlorn Sheets") that present an advertising plan, the results of a campaign, a pricing analysis or a product audit, compiled from the information the Service holds for your account. The Service integrates with third-party platforms including Shopify, Google Ads, Microsoft Advertising, Meta (Facebook and Instagram), Pinterest, Snapchat, Reddit, and Vibe (streaming TV).

The Westlorn Companion+ app for Shopify is a companion to the web application and offers a limited subset of the Service within Shopify admin: it scores the product listings in your store, proposes revised titles, descriptions and tags that are written to your store only when you apply them, keeps a log of each change it writes for ninety (90) days so that you may restore the previous text, and, where your store is linked to a Westlorn account at your request and with your approval in Shopify admin, displays the status and the performance figures reported by the advertising platforms for campaigns that account runs for your store, and allows you to pause or resume those campaigns. The Westlorn Companion+ app does not create advertising plans, creative files or campaigns.

3. Account Registration

You must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials. You must be at least 18 years old to create an account.

4. Third-Party Integrations

Our Service connects to third-party advertising and e-commerce platforms. By connecting your accounts, you authorize us to access and manage data on your behalf. You must comply with each platform's terms of service. We are not responsible for actions taken by third-party platforms. We do not share your OAuth credentials or campaign data across platforms without your explicit authorization.

Current and planned integrations are subject to the following platform policies: Google Ads Terms of Service, Meta Advertising Policies, TikTok for Business Terms, Microsoft Advertising Agreement, Pinterest Advertising Terms, Snapchat Advertising Policies, Reddit Advertising Terms, X (Twitter) Ads Terms, and LinkedIn Marketing Solutions Agreement, and Vibe's Terms of Service. Links to these policies are available in each platform's developer documentation.

Meta. Campaigns Westlorn creates on Meta run as the Facebook Page you choose, and you are responsible for having the right to advertise as that Page. You must follow Meta's Advertising Standards and, if your ad offers credit, housing or employment, you must say so in the restricted-ad question on the campaign so it is created in Meta's matching special ad category. Westlorn does not create ads about social issues, elections or politics on Meta. Meta reviews every ad and may reject it or restrict your ad account; Westlorn cannot override Meta's decisions.

Reddit. Campaigns Westlorn creates on Reddit are image posts promoted from a Reddit profile that belongs to the business of the ad account you choose, and you are responsible for having the right to advertise from it. Westlorn turns comments off on these posts. You must follow Reddit's Advertising Policies, the Reddit Advertising Platform Terms and Reddit's Ads API Terms, and your ad account needs a Reddit Pixel before Westlorn can create an ad group. Reddit reviews every ad and may reject it or restrict your ad account; Westlorn cannot override Reddit's decisions. Westlorn uses Reddit data only to create your campaigns and show you their status and results, and deletes it when you disconnect Reddit. Reddit may change or end API access at any time, in which case Reddit features may stop working.

Vibe (streaming TV). Your Vibe account is a contract between you and Vibe, and you agree to Vibe's Terms of Service when you use it, including its billing terms, its content and advertising rules, and its right to review, reject or remove any ad. Vibe bills you directly for ad spend; Westlorn does not process or hold that payment, and Vibe may pause your campaigns if a payment fails. You are the advertiser of record: you are responsible for your ad, the products you advertise, the web address shown in it, and for having every right needed to the video, music and brand material you use, and you allow Westlorn to send them to Vibe for your campaign. Westlorn creates Vibe campaigns for audiences in the United States as drafts that stay switched off until you publish them in Vibe. Westlorn does not create Vibe ads for alcoholic beverages, casino and gambling, CBD products or paraphernalia, religion and spirituality, hunting and shooting, or tobacco and smoking products, and you confirm for each campaign that your ad is not for one of them. Vibe's own rules, which restrict further categories such as health, financial services, political and cryptocurrency advertising, still apply, and Vibe's approval decisions are final. To meet Vibe's requirement that your web address stays on screen, Westlorn sends Vibe a copy of your video with your landing page's domain shown for the whole video. Figures read from Vibe are Vibe's own and may change until Vibe settles them, usually within 24 hours of each day's end. Westlorn is independent of Vibe and is not endorsed by or affiliated with it.

5. AI-Generated Content & No Professional Advice

Our Service uses third-party artificial intelligence models, listed as data processors in our Privacy Policy, to generate recommendations, analyses and content. Advertising plans, forecasts, pricing, bid recommendations, scores, copy and creative provided through the Service are furnished for informational and reference purposes only. You are responsible for reviewing and approving all AI-generated content, including ad copy, creatives, budgets and campaigns, before use or deployment.

AI-generated output does not constitute financial, investment, legal, tax, accounting or regulatory advice, and Westlorn LLC does not act as your adviser in any capacity. Forecasts and estimates are not representations or guarantees of future results. All pricing, bidding, advertising spend and strategic decisions are solely your responsibility. You are responsible for independently verifying all output and should consult a qualified professional before relying on it for any business decision.

AI models may produce inaccurate, outdated or biased results. We do not guarantee the completeness, reliability or timeliness of any AI-generated output. You assume all risk associated with reliance on AI-generated recommendations.

5A. Your Advertising and Your Spend

Campaigns created through the Service run in advertising accounts that you own or control, and each platform bills you directly under its own terms. You determine all budgets and the timing of all campaigns. You are solely responsible for every charge incurred in your accounts and for ensuring that your advertising complies with each platform's policies and all applicable laws. You agree to indemnify and hold harmless Westlorn LLC from any charge, claim, loss or expense arising from your campaigns or advertising content.

5B. Third-Party Names and Trademarks

Westlorn, the Westlorn logo and the grid mark are trademarks of Westlorn LLC. All other company, platform and product names, logos and trademarks appearing in the Service, in its output or on westlorn.com are the property of their respective owners and are used solely for identification purposes. Such use does not imply any endorsement, sponsorship or affiliation unless expressly stated. Support for the Service is provided by Westlorn LLC and not by any connected platform. If you include another party's name, logo, product or likeness in any advertisement or listing, you are solely responsible for obtaining all necessary rights.

5C. Figures from Advertising Platforms

Spend, clicks, sales and other performance figures displayed in the Service are sourced from each platform's reporting and may be delayed, revised or differ from the amounts the platform bills. Each platform's own records are authoritative.

A document the Service produces presents those figures as they stood at the date and time printed on it. Where a campaign ended fewer than seven (7) days before the document was produced, the document is marked as interim, because a platform may continue to attribute results for a period after a campaign ends; a document produced after that period is marked as final. Figures in a document are not revised after it is produced.

These restrictions survive termination or expiration of your account and remain in effect for 24 months following your last use of the Service. Violation of this section may result in immediate termination and pursuit of all available legal remedies, including injunctive relief and damages.

8. Payment, Billing & Refunds

Paid plans are billed monthly or annually as selected. If you use Westlorn through the Shopify App Store, charges are billed through your Shopify account. We may change pricing with 30 days' notice. Free accounts have access to limited features and credits as described on the pricing page.

Credits: Credits are non-refundable and non-transferable. If a process that uses credits fails, the credits for that run are returned to your balance automatically. As always, we stand by our products and service: if you have any questions or need further assistance, please reach out to [email protected].

Revisions: Each Creative studio order includes one free revision round: your first change to the text on the images, and making up to two image sizes again. Further revisions use credits as listed in the credit table on our pricing page, which always shows the current schedule. As examples, at the time of writing each further text change costs 1 credit (it redraws every size) and each further image redo costs 2 credits (3 for a print size). Making a size again that could not be made the first time costs that size's normal price and is not a revision. Approving a creative never uses credits, and any change made after approval returns it to waiting for approval.

Westlorn Sheets: Documents are purchased with credits, individually or as a pack, at the price shown in the Service before you confirm the purchase. Credits are deducted when you request the document, before it is produced; if the document cannot be produced, the credits for that request are returned to your balance automatically. Viewing the same information on screen within the Service does not use credits. A document you have purchased remains available to download again from your Reports, at no further charge, for twelve (12) months from the date it was produced, after which it is deleted; producing it again after that date is a new purchase. A document is a record of the Service's information at the time it was produced, and the later revision of a figure by an advertising platform does not entitle you to a refund or a replacement.

Refund Policy: For paid subscriptions, you may request a full refund within 7 days of your initial purchase or renewal if you have not used more than 10 credits during that billing period. Refund requests must be submitted to [email protected]. Refunds for service outages or technical failures may be issued at our discretion on a pro-rata basis. Refunds are processed by our payment provider (Stripe, or Shopify for App Store subscriptions); please allow 5–10 business days for the refund to appear on your statement.

9. Review and Approval Links

Westlorn lets you share ads you made, and a Proposal produced from an advertising plan, with people outside your account through a review or approval link, so they can look at the material, comment, ask for changes and approve it, without an account.

If you share a link: you choose who receives it and are responsible for sharing it only with people you trust with the ads. Comments, change requests and approvals made through your link count as made at your request, and an approval lets you use the ads in Set up campaigns and exports. You can turn a link off at any time, and links stop working on their expiry date.

Proposals and approvals: an approval page is hosted by Westlorn, displays Westlorn's name and marks, and names you as the sender. An approval recorded through the page is recorded against your plan with the approver's name and email address, and the Proposal is produced again with the approval shown on it. Accounts managed for a client within an agency group may require an approval before campaigns are set up; a decision to proceed without one is recorded in the plan's activity with the reason given. If you send a document produced by the Service to a client or any other person, you are responsible for that document and for the use made of it, and you must not remove the notice it carries.

If you open a link: by using the review page you agree to these Terms and to our Privacy Policy. Use the page only to review the ads you were asked to review. The ads and their content belong to the person who shared them: don't copy, publish or pass them on without that person's permission. When you approve, the code we email you confirms that you control the email address you entered; don't approve on someone else's behalf. Your name, email address, comments and approval are shared with the person who shared the link and kept as described in our Privacy Policy. If you were asked to approve a Proposal, your approval confirms the plan as presented to you and does not constitute an agreement with Westlorn; the engagement between you and the person who sent the Proposal, including any fees, is agreed between you and that person.

10. Video: AI-Generated People and Your Music

AI-generated people. Some video styles show a realistic person who does not exist and is made by AI (an "AI presenter"). Before one is made, you confirm that you understand the person is AI-generated. Westlorn labels these videos "AI-Generated Person" or "AI-Generated People" on screen and names the files "AI-generated". You agree not to remove, cover or crop out these labels; not to present an AI-generated person as a real customer, employee, expert or endorser; and not to use one to give a testimonial or describe a personal experience with a product. Advertising platforms such as Meta, TikTok and YouTube ask advertisers to disclose realistic AI-generated people, and some laws require it; turning on each platform's AI label when you upload or run the ad, and following the disclosure rules where your ads run, is your responsibility.

Music you upload. You may add your own music track to a video. By uploading a track, you confirm that you own it or hold every right and licence needed to use it in paid advertising, on every platform and in every place where the ad runs, for as long as it runs. You are responsible for any claim that a track you uploaded infringes someone else's rights, and you agree to cover our losses and costs from such a claim. We may remove a track, or a video that uses it, if we receive a credible rights claim. Westlorn does not provide a music library. Sound made by an AI video model with a video is AI-generated content as described in section 5.

11. Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

12. Termination

We may terminate or suspend your account for violation of these Terms. You may cancel your account at any time. Upon termination, your data will be retained for 30 days before permanent deletion.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via email.
